Acceptable Use Policy

This Acceptable Use Policy sets out what responsible use of Closeout looks like. It's incorporated into the General Terms of Use, and it exists to keep every firm's data safe on a shared platform.
Who may use the Service
The Service is for legal professionals and their authorized staff. You may only access accounts and data you are permitted to access, and you must not share your credentials or let anyone use your account on your behalf.
Data you may submit
You may only submit Customer Data that you are legally entitled to process, including any protected health information, and you are responsible for having the necessary rights and consents.
You must not upload data that infringes another party’s rights, that you are contractually barred from disclosing, or that you have no lawful basis to process.
Prohibited conduct
You agree that you will not:
- Attempt to access, probe, or scan the Service, another firm’s data, or our infrastructure without authorization.
- Interfere with or disrupt the integrity or performance of the Service, including through denial-of-service attacks or excessive automated requests.
- Reverse engineer, decompile, or attempt to extract the source code or models behind the Service, except to the extent the law expressly permits.
- Upload malware, or use the Service to distribute unlawful, infringing, or harmful content.
- Scrape or bulk-export the Service’s content other than your own Customer Data through supported features.
- Use the Service to build or train a competing product, or to benchmark it for a competitor.
Use of AI output
The Service’s AI features are decision-support tools, not legal advice. You must have a qualified person review and confirm AI-generated output before relying on it, and you must not present that output as advice from Closeout.
No disbursement or other consequential action should be finalized on data a person has not verified.
Security and reporting
Keep your credentials confidential, enable multi-factor authentication, and promptly tell us about any suspected unauthorized access to your account. Report suspected vulnerabilities to security@usecloseout.com, and give us a reasonable chance to remediate before any public disclosure.
Enforcement
If we reasonably believe your use violates this Policy or creates risk to the Service or other firms, we may suspend or limit access, and, for serious or repeated violations, terminate it. Where practical and lawful, we will give notice and a chance to cure first.
